NOTICE OF MEETING

NOTICE IS HEREBY GIVEN that the Triunfo Water & Sanitation DIstrict Board of Directors will hold a Regular Meeting on Monday, November 25, 2019, 5:15 p.m. at the Oak Park Library (Film & Lecture Room 102), 899 N. Kanan Road, Oak Park, California. The business to be transacted is as follows:

The board agenda is posted at least 72 hours preceding the Board meeting, and contains all items on which Board action will be allowed pursuant to Government Code Section 54954.2. Action will be take on unanticipated items only when an emergency (as defined in Government Code Section54956.5) exists or as otherwise allosed under Government Code Section 54954.2(b). In compliance with the Americans with Disabilities Act, if you need special accommodation/assistance to participate in a District event, please call the California Relay Service TDD line at (800) 735-2929 or the Clerk of the Board at (805) 658-4642 at least 48 hours prior. Notification prior to the meeting will enable the District to make reasonable arrangements to ensure accessibility to participate. 3.  Agenda Review (General Manager/Board of Directors)

     Consider and approve, by majority vote, minor revisions to the Board agenda items or related attachments and any item added to, removed from, or continued from the Board agenda.

4.   Public Comment (Items not on the agenda – 5 minute limit)

In accordance with Government Code Section 54953(a), this is an opportunity for members of the public to briefly address the Board on items NOT on the agenda. Persons wishing to comment on agenda items should complete a speaker card and submit it (preferably before the meeting) to the Clerk. The Chairman will then recognize them at the appropriate time. Once recognized, persons should step to the podium, clearly state their name and address for the record, and address the item being considered in as brief, clear, and concise a manner as possible.

5.   Recognition of Vice Chair Susan Pan for over Three Years of Service to Triunfo Water & Sanitation District

CONSENT ITEMS (Items 6 and 7) – Matters listed under Consent Items are considered to be routine, non-controversial, and are normally approved by one motion. If discussion is requested by a member of any of the Board on any Consent Item, or if a member of the public wishes to comment on an item, that item may be removed from Consent Agenda for separate action.

6.   Approval of Minutes: November 25, 2019 Regular Meeting

7.   TWSD Core Management Service Contract No. T19-008 – Doyle Consulting Services

It is recommended that the Board:

  1. Authorize the Chair to sign TWSD Contract No. T19-008 for Doyle Consulting Services to provide management, engineering, and analytical services for the District’s projects and operations with a term to June 30, 2020
  2. Direct staff to transfer $97,580 from the VRSD/TWSD budget to the TWSD Professional Services line item to fund the contract.

8.   Public Hearing Revisions to Ordinance No. TWSD-101 – Regarding Policy on Board Member Teleconferencing

      It is recommended the Board:

  1. Conduct a public hearing regarding proposed TSD Ordinance No. TWSD-101 for prescribing the policies and provisions for Board member compensation and reimbursement procedures: 
    1. Call to order and open the public hearing.
    2. Receive staff report and recommendations.
    3. Report of written communications.
    4. Public comment.
    5. Close public hearing.
    6. Discussion by Board of Directors 
  2. Conduct the second reading, by title only, of Ordinance No. TWSD-101, Concerning Board Member Compensation And Expense Reimbursement, and adopt Ordinance No. TWSD-101 which shall take effect on December 16, 2019.

ORDINANCE NO. TWSD-101 (Adopted 12/16/19) ESTABLISHING POLICIES AND PROCEDURES FOR BOARD MEMBER COMPENSATION AND EXPENSE REIMBURSEMENT

9.   Public Hearing: District Ordinances (TWSD-200, TWSD-202, TWSD-250) – Revisions for Policies and Procedures and Rules and Regulations for the District’s Sewer System

      It is recommended the Board:

    1. Conduct a public hearing regarding proposed TWSD Ordinance Nos. TWSD-200, TWSD-202, and TWSD-250 for prescribing the policies, fees, and provisions for sewer service and the pretreatment program for the sewer system: 
      1. Call to order and open the public hearing.
      2. Receive staff report and recommendations.
      3. Report of written communications.
      4. Public comment.
      5. Close public hearing.
      6. Discussion by Board of Directors 
  1. Conduct the second reading, by title only, of Ordinance Nos. TWSD-200, TWSD-202, and TWSD-250, establishing policies, procedures, fees and charges for sewer service and a pretreatment program for the sewer system, and adopt Ordinance Nos. TWSD-200, TWSD-202, and TWSD-250 which shall take effect on January 1, 2020.
  2. Direct staff to include these changes in the pamphlet/newsletter being sent to all impacted commercial customers.

10     Election of Calendar Year 2020 Chair and Vice Chair

It is recommended the Board:

  1. Elect a Chair for Calendar Year 2020 from among members of the Board of Directors; and
  2. Elect a Vice Chair for Calendar Year 2020 from among members of the Board of Directors.

11.   Calendar Year 2020 Standing Committees, Ad Hoc Committees and Other Board Appointments

It is recommended the Board:

  1. Determine whether to continue the Finance Committee, Personnel Committee, Recycled Water Committee, and Website Oversight Committee.
  2. If desired, appoint two Directors to serve on the Finance Committee.
  3. If desired, appoint two Directors to serve on the Personnel Committee.
  4. If desired, appoint two directors to serve on the Recycled Water Committee.
  5. If desired, appoint two Directors to serve on the Website Oversight Committee.
  6. Determine whether to create any ad hoc committees and create or keep other Board appointments.
  7. If desired, appoint one Director to perform financial oversight and bimonthly billing review of TWSD invoices.
  8. Provide alternate direction to staff.

12,  TSD FY2019 Comprehensive Annual Financial Report (CAFR)

       It is recommended the Board receive and file the Fiscal Year 2019 Comprehensive Annual Financial Report

13  Discussion: Director Vacancy Process for Future Appointment

      It is recommended that the Board discuss the draft process, schedule of events, and sample packet of information and provide staff with direction.

14   TWSD Wastewater Audit Program Update for Commercial Customers

       It is recommended the Board approve staff’s recommendation to delay the biennial commercial account audit process for another 2 years.

15    Request from Oak Park Unified School District for Bill Insert and TWSD Participation in February 22, 2020 Super Saturday Event

        It is recommended that the Board consider the request from OPUSD for a TWSD bill insert and display booth in support of the February 22, 2020 Super Saturday event and direct staff accordingly.

A Board member may ask a question of staff for clarification, make a brief announcement, or make a brief report on his or her own activities related to the TWSD. A Board member may also provide a reference to staff or other resources for factual information, or request staff to report back to the Board at a subsequent meeting concerning a matter related to TWSD business. The Board may also direct staff to place a matter of business on a future TWSD Board agenda.

The Board will meet with Legal Counsel to discuss the possible initiation of litigation pursuant subdivision (d) paragraph (2) of Section 54956.9. One case

The Board will meet with Legal Counsel to discuss the possible initiation of litigation pursuant subdivision (d) paragraph (4) of Section 54956.9. One case.
